Terms of Service

These Terms of Service (“Terms”) govern your use of the website abovedeckclosings.com (the “Site”) and, except as provided in Section 3, the services offered by Above Deck Closings, LLC (“Above Deck Closings,” “we,” “us”). By using the Site, submitting an inquiry, or engaging our services, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, please do not use the Site or our services.
1. Who we are — a private company, not a government agency
Above Deck Closings, LLC is a private, fee-for-service company organized in the State of Florida. We are not the United States Coast Guard (USCG), the National Vessel Documentation Center (NVDC), or any other government agency, and we are not affiliated with, endorsed by, or sponsored by any government agency. You may file documentation and registration paperwork directly with the relevant government agencies yourself, without our assistance, for the fees those agencies charge. We charge separate service fees for preparing, reviewing, coordinating, and filing paperwork and for coordinating closings.
2. Our services
We provide vessel transaction support services, including USCG documentation, vessel title and registration, closing and escrow coordination, and foreign-flag registration support (collectively, the “Services”). Descriptions of Services on the Site are informational summaries only and do not constitute an offer, a quote, or a guarantee of any result, timeline, or outcome.
3. Engagements; order of precedence
Services are engaged through a written or electronic agreement, engagement confirmation, or written instructions agreed between you and us (an “Engagement”). If there is a conflict between these Terms and a signed Engagement, the Engagement controls for the Services it covers. These Terms apply to your use of the Site and to any matter not addressed in an Engagement.
4. No legal, tax, insurance, or financial advice
- Above Deck Closings is not a law firm, and no employee or representative of Above Deck Closings acts as your attorney. No attorney-client relationship is created by using the Site or the Services.
- We prepare and process documents and coordinate closings; we do not provide legal, tax, insurance, or investment advice. Information on the Site is general information, not advice for your situation.
- We do not issue title insurance, guarantee or insure title, or guarantee that any vessel is free of liens, claims, or defects. Title, lien, and registry searches rely on records maintained by government agencies and third parties, which may be incomplete, delayed, or inaccurate.
- You are encouraged to retain your own attorney, tax advisor, surveyor, and insurance professionals, and to conduct your own due diligence (including survey, sea trial, and lien searches) before buying or selling any vessel.
5. Your responsibilities
- Provide information and documents that are accurate, complete, and current — including identity, ownership, vessel, and lien information — and update us promptly if anything changes.
- Review all documents before signing. You are responsible for the accuracy of the information in documents you sign and filings made based on information you provide.
- Respond to requests and sign and return documents in a timely manner. Delays in providing information or signatures may delay filings and closings.
- Comply with applicable laws, including customs, import/export, tax, and sanctions laws applicable to your transaction.
6. Payments, funds transfers, and wire-fraud prevention
We never send new wire instructions or change existing wire instructions by email or text message. If you receive an email or text claiming that our wiring details have changed, treat it as fraudulent, do not send funds, and call us immediately at (954) 488-5800.
- Before transferring any funds, you must verbally confirm the wire instructions by calling us at a known, independently verified telephone number and repeating the account details back for confirmation.
- To the fullest extent permitted by law, Above Deck Closings is not responsible for losses arising from (a) transfers made without verbal verification as described above, (b) your reliance on payment instructions received by email, text, or other unverified channels, or (c) unauthorized access to or compromise of your own email accounts, devices, or systems.
- Service fees are quoted per Engagement. Government filing fees, registry fees, taxes, and third-party charges are separate from our service fees and are generally non-refundable once paid or filed.
- Where we coordinate the exchange of funds and documents at a closing, we act solely in accordance with the written instructions agreed by the transaction parties and as expressly set forth in the applicable Engagement.
7. Government agencies and third parties
Processing times, requirements, approvals, and fees for documentation, titling, registration, and flagging are set and controlled by government agencies and registries (including the USCG, NVDC, state agencies, and foreign registries), not by us. We do not control and are not responsible for the acts, omissions, errors, delays, backlogs, or fee changes of any government agency, registry, lender, broker, surveyor, insurer, notary, e-signature provider, or other third party. Estimated timelines are good-faith estimates only.
8. Electronic communications and signatures
By providing your contact information, you consent to receive communications from us electronically (email, phone, and — if you opt in — SMS as described in our Privacy Policy), and you agree that we may conduct business with you using electronic records and electronic signatures. You agree that electronic records and signatures satisfy any requirement that a communication or agreement be in writing, to the extent permitted by law.
9. Use of the Site
- The Site and its content (text, graphics, logos, and images) are owned by or licensed to Above Deck Closings and are protected by intellectual-property laws. You may view and print pages for your personal or internal business use; any other use requires our prior written permission.
- You agree not to misuse the Site — including by scraping, introducing malicious code, attempting unauthorized access, submitting false or misleading inquiries, or impersonating any person.
- The Site may contain links to third-party websites. We are not responsible for their content, terms, or privacy practices.
- We may modify, suspend, or discontinue the Site or any content at any time. Content may occasionally be out of date or contain errors; we do not warrant its accuracy or completeness.
10. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE,” AND THE SERVICES ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT ANY PARTICULAR OUTCOME, APPROVAL, PROCESSING TIME, OR RESULT OF ANY FILING, SEARCH, REGISTRATION, OR CLOSING.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- THE TOTAL AGGREGATE LIABILITY OF ABOVE DECK CLOSINGS AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS ARISING OUT OF OR RELATING TO THE SITE OR THE SERVICES WILL NOT EXCEED THE SERVICE FEES YOU ACTUALLY PAID TO ABOVE DECK CLOSINGS FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM (OR, FOR CLAIMS RELATING SOLELY TO THE SITE, ONE HUNDRED U.S. DOLLARS).
- IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES, LOSS OF USE, DIMINUTION IN VESSEL VALUE, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- WE ARE NOT LIABLE FOR THE ACTS, OMISSIONS, ERRORS, OR DELAYS OF GOVERNMENT AGENCIES, REGISTRIES, OR OTHER THIRD PARTIES, OR FOR EVENTS BEYOND OUR REASONABLE CONTROL (INCLUDING GOVERNMENT SHUTDOWNS OR BACKLOGS, WEATHER, OUTAGES, AND FAILURES OF COMMUNICATIONS SYSTEMS).
Some jurisdictions do not allow certain warranty disclaimers or damage limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law. The limitations in this section apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and are a fundamental basis of the bargain between you and us.
12. Indemnification
You agree to indemnify and hold harmless Above Deck Closings and its members, managers, officers, employees, and agents from and against claims, losses, and expenses (including reasonable attorneys’ fees) arising out of (a) inaccurate, incomplete, or misleading information or documents you provide, (b) your breach of these Terms or an Engagement, (c) your violation of applicable law, or (d) disputes between you and any other party to your transaction.
13. Governing law; venue; time to bring claims
These Terms and any dispute arising out of or relating to the Site or the Services are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. The state and federal courts located in Broward County, Florida will have exclusive jurisdiction, and you consent to venue there. To the extent permitted by law, any claim must be brought within one (1) year after the claim accrues.
14. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new effective date, and applies to your use of the Site and to Engagements entered into after that date. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
15. General
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be enforced to the maximum extent permissible. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. These Terms, the Privacy Policy, and any applicable Engagement are the entire agreement between you and us regarding their subject matter.
